01 // Platform Purpose & Marketplace Function

Matchbox Talent operates a digital marketplace designed to connect brands, creators, agencies, talent representatives, marketing teams, and related business entities seeking collaboration opportunities.

The Platform exists solely to facilitate discovery, visibility, communication, and opportunity distribution between independent parties.

Matchbox Talent does not negotiate agreements on behalf of users, guarantee business opportunities, guarantee creator selection, guarantee campaign performance, or guarantee commercial outcomes.

02 // Account Eligibility & User Representations

Users must be at least eighteen (18) years old or possess legal authority to enter binding agreements within their jurisdiction.

Users represent that all information submitted to Matchbox Talent is accurate, complete, current, and non-misleading.

Users are solely responsible for maintaining account security, password confidentiality, and activities occurring under their accounts.

03 // Agencies & Authorized Representatives

Agencies may create and manage profiles on behalf of creators, brands, or clients.

By operating on behalf of another party, the Agency warrants that it possesses all required authority, permissions, contractual rights, and legal capacity to act for that represented party.

Any actions taken by an Agency through the Platform shall be deemed actions of the represented party.

04 // Payment Disclaimer & Financial Limitations

Matchbox Talent does not process payments, hold funds, manage escrow accounts, issue loans, provide investment advice, operate as a money transmitter, or act as a payment processor.

All payments are conducted directly between Brands, Creators, Agencies, or through independent third-party payment providers.

Matchbox Talent bears no responsibility for:

• Late payments
• Failed payments
• Chargebacks
• Refund disputes
• Tax obligations
• Currency conversion issues
• Fraudulent transactions
• Invoice disputes

Users assume all financial risk associated with transactions entered into through relationships initiated on the Platform.

05 // Off-Platform Agreements

Any agreement entered into between users exists solely between those users.

Matchbox Talent is not a party to creator-brand contracts, sponsorship agreements, licensing agreements, service agreements, influencer campaigns, employment relationships, consulting arrangements, or any related commercial engagement.

Matchbox Talent has no obligation to enforce, monitor, interpret, or resolve disputes arising from such agreements.

06 // Intellectual Property Ownership

Creators retain ownership of their content unless otherwise agreed in separate contracts.

Brands retain ownership of trademarks, logos, campaigns, and proprietary assets.

Matchbox Talent receives a limited worldwide license to host, display, store, and distribute user-submitted content solely for operating the Platform.

07 // Verification Disclaimer

Verification badges, profile indicators, review scores, follower metrics, audience estimates, engagement statistics, and similar indicators are provided for informational purposes only.

Matchbox Talent does not guarantee their accuracy and does not endorse any user through verification.

08 // Prohibited Activities

• [d] Unauthorized automation
• [e] Reverse engineering
• [f] Malware distribution
• [g] Spam campaigns
• [h] Data harvesting
• [i] Artificial metric inflation
• [j] Illegal activity

09 // Platform Availability

Matchbox Talent may modify, suspend, discontinue, update, or restrict access to any aspect of the Platform at any time without notice.

Continuous availability is not guaranteed.

10 // Limitation of Liability

To the maximum extent permitted by law, Matchbox Talent shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising from use of the Platform.

11 // Indemnification

Users agree to defend, indemnify, and hold harmless Matchbox Talent and its officers, employees, affiliates, contractors, and partners against claims arising from:

• User content
• Contract disputes
• Copyright claims
• Trademark claims
• Payment disputes
• Regulatory violations
